Terms of Service
1. The Service
E-Responder (the "Service") is a web and mobile application for event and first-response teams to record patient report forms, triage, risk assessments, kit checks, team deployment, live location, SOS alerts, photographs and related records, and to produce reports.
The Service is a recording and coordination tool. It does not diagnose, treat or give clinical advice, and it is not a medical device. Guides, triage aids and reports in the Service are aide-memoires only. Clinical decisions remain the responsibility of your trained staff, acting within their qualifications, your clinical governance and current national guidance (such as JRCALC and the Resuscitation Council UK).
The Service is not an emergency service. The SOS feature, live map and location sharing depend on phones, signal, battery, GPS and the app being open. Always call 999 in an emergency. We do not monitor SOS alerts.
2. Accounts and users
- You are responsible for everyone you invite or create an account for ("Authorised Users"), for their use of the Service, and for keeping passwords and invite QR codes secure.
- Your plan sets the maximum number of active Authorised Users. You can upgrade at any time.
- You must tell us promptly at contact@heimdell-tech-ai.co.uk if you suspect an account has been compromised.
3. Subscription, trial and payment
- Plans, prices and the length of any free trial are shown at checkout. Payment is taken by Stripe. Unless you cancel before the trial ends, your subscription starts and is billed automatically.
- Subscriptions renew automatically each billing period until cancelled. You can cancel at any time from Account → Manage billing; cancellation takes effect at the end of the current paid period. Fees already paid are not refundable except where the law requires.
- If a payment fails we may restrict the Service after reasonable notice. While restricted, your Authorised Users can still sign in to view and export their records, and SOS and the live map continue to work.
- We may change prices on at least 30 days' notice, effective from your next renewal.
4. Your data
- You own the records you and your Authorised Users put into the Service ("Customer Data"). You are the controller of any personal data in Customer Data, including patient health data, and we process it as your processor under our Data Processing Agreement, which forms part of these Terms.
- You are responsible for having a lawful basis to collect patient and staff data, for giving people the privacy information they need, for any consents, and for meeting your own regulatory obligations (for example CQC registration where it applies, and NHS Data Security and Protection Toolkit requirements where you hold NHS contracts).
- We will not access Customer Data except to provide and support the Service, to keep it secure, when you ask us to, or where the law requires.
- We may use anonymous, aggregated usage information (for example numbers of records created) to run and improve the Service. This never identifies patients.
5. Acceptable use
You and your Authorised Users must follow our Acceptable Use Policy. We may suspend access that breaches it or puts the Service or other customers at risk, and we will tell you why unless the law prevents us.
6. Availability and support
- We aim to keep the Service available at all times but do not guarantee uninterrupted access. Planned maintenance will be kept short and, where possible, outside typical event hours. The app is designed to keep working offline and sync when a connection returns.
- Support is by email at contact@heimdell-tech-ai.co.uk. We aim to reply within one working day.
- We may improve and change the Service. We will not make changes that materially reduce its core functions during a paid period without notice.
7. Our intellectual property
We (and our licensors) own the Service, its software, design and content. You receive a non-exclusive, non-transferable right for your Authorised Users to use it during your subscription for your internal business purposes. You must not copy, resell, reverse-engineer or build a competing product from the Service.
8. Liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot be limited by law.
- Subject to that, we are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Subject to that, our total liability in any 12-month period is limited to the fees you paid us in that period.
- You are responsible for clinical decisions made by your staff, for the accuracy of what they record, and for keeping your own copies of records you are legally required to retain.
9. Ending the contract
- You can cancel at any time as described in section 3. We can end these Terms on 30 days' notice, or immediately if you materially breach them and do not fix the breach within 14 days of being asked.
- After your subscription ends, Customer Data stays available for you to export for 90 days. After that we delete it, including from backups within a further 35 days, unless the law requires us to keep it. You can ask us to delete it sooner.
10. General
- We may update these Terms. We will give at least 30 days' notice of material changes by email or in the app. Continued use after that date means you accept the change.
- You may not transfer this contract without our consent. We may transfer it to a successor of our business, with notice.
- Neither of us is liable for delay caused by events outside reasonable control.
- These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
